These Terms of Use (hereinafter referred to as the "Terms") set forth the conditions for the use of the online shop (hereinafter referred to as the "Service") provided on this website by Solutions Inc. (hereinafter referred to as the "Company"). Registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.
Article 1 (Application)
- These Terms shall apply to all relationships between the User and the Company regarding the use of the Service.
- In addition to these Terms, the Company may establish various rules and regulations regarding the use of the Service (hereinafter referred to as "Individual Provisions"). Regardless of their names, such Individual Provisions shall constitute a part of these Terms.
- If the provisions of these Terms conflict with those of the Individual Provisions, the Individual Provisions shall prevail unless otherwise specified.
Article 2 (User Registration)
- In the Service, user registration shall be completed when a registration applicant agrees to the Terms, applies for registration by a method prescribed by the Company, and the Company notifies the applicant of its approval.
- If the Company determines that the applicant for registration falls under any of the following, it may deny the registration without any obligation to disclose the reasons.
- If false information was submitted in the application
- If the applicant has violated these Terms in the past
- If the Company otherwise deems the registration inappropriate
Article 3 (Management of User ID and Password)
- Users shall manage their User ID and password at their own responsibility.
- Users shall not transfer, lend, or share their User ID and password with any third party under any circumstances. The Company will regard any login using a matching User ID and password as usage by the registered User.
- The Company shall not be liable for any damage caused by the use of the User ID and password by a third party, unless due to intentional misconduct or gross negligence by the Company.
Article 4 (Purchase Agreement)
- A purchase agreement shall be concluded when a User applies to purchase a product and the Company sends a notice of acceptance. Ownership of the product transfers to the User when the Company hands it over to a delivery carrier.
- The Company may cancel the purchase agreement without prior notice to the User if the User falls under any of the following:
- Violation of the Terms
- Inability to complete delivery due to unknown address or prolonged absence
- Loss of trust between the Company and the User
- Payment methods, delivery methods, order cancellations, and returns for the Service shall be as separately prescribed by the Company.
Article 5 (Intellectual Property Rights)
The copyright and other intellectual property rights of product images and other content (hereinafter referred to as "Content") provided through the Service belong to the Company or rightful third parties, and Users may not copy, reprint, modify, or otherwise use them without permission.
Article 6 (Prohibited Conduct)
Users shall not engage in the following acts when using the Service:
- Acts that violate laws or public order and morals
- Criminal acts or acts related to crime
- Infringement of intellectual property rights contained in the Service
- Disruption or destruction of servers or network functionality
- Commercial use of information obtained from the Service
- Acts that may interfere with the Company’s operations
- Unauthorized access or attempts thereof
- Collecting or storing personal information of other users
- Impersonation of other users
- Providing benefits to antisocial forces in relation to the Service
- Any other acts the Company deems inappropriate
Article 7 (Suspension of the Service)
- The Company may suspend or interrupt all or part of the Service without prior notice to the User if it determines that any of the following apply:
- System maintenance or updates
- Natural disasters making it difficult to provide the Service
- Accidents resulting in suspension of computers or communication lines
- Other situations where the Company deems it difficult to provide the Service
- The Company shall not be liable for any loss or damage incurred by Users or third parties due to suspension or interruption of the Service.
Article 8 (Usage Restrictions and Deregistration)
- The Company may restrict the User’s use of all or part of the Service or delete the User’s registration without prior notice if any of the following apply:
- Violation of any provision of these Terms
- False information in registration
- Credit card registered by the User is suspended
- Failure to fulfill payment obligations
- No response to communication from the Company for a certain period
- Inactivity for a certain period
- Other reasons the Company deems inappropriate
- The Company shall not be liable for any damages incurred by the User due to actions taken under this Article.
Article 9 (Withdrawal)
Users may withdraw from the Service by following the prescribed procedure.
Article 10 (Disclaimer of Warranty and Liability)
- The Company does not guarantee the absence of defects in the Service, including defects in safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security.
- The Company shall not be liable for any damage caused to Users through the use of the Service. However, if the contract with the User under these Terms qualifies as a consumer contract under the Consumer Contract Act, this disclaimer does not apply. Even in that case, the Company shall not be liable for any damages arising from special circumstances, whether foreseen or foreseeable.
- The Company shall not be liable for any disputes, communications, or transactions between Users or between a User and a third party arising in connection with the Service.
Article 11 (Changes to the Service)
The Company may change or discontinue the contents of the Service without notifying the User, and shall not be liable for any damages incurred as a result.
Article 12 (Amendments to the Terms)
The Company may revise these Terms at any time without notice if it deems necessary. Continued use of the Service after changes constitutes agreement to the revised Terms.
Article 13 (Handling of Personal Information)
The Company shall handle personal information obtained through the use of the Service appropriately in accordance with its Privacy Policy.
Article 14 (Notices and Communications)
Notices and communications between the User and the Company shall be made using the method specified by the Company. Unless otherwise notified, the Company will consider the currently registered contact information valid and any notice or communication sent to it as having reached the User at the time of dispatch.
Article 15 (Prohibition of Transfer of Rights and Obligations)
Users may not transfer or pledge their status under the usage contract or rights or obligations under these Terms to a third party without the prior written consent of the Company.
Article 16 (Governing Law and Jurisdiction)
- These Terms shall be interpreted in accordance with Japanese law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
- If any dispute arises regarding the Service, the exclusive jurisdiction shall lie with the court having jurisdiction over the location of the Company's head office.
